These Terms of Service ("Terms") govern your use of the website located at thehirschgroup.com and any services provided by The Hirsch Group, LLC ("we," "us," or "our"). By accessing our website or engaging our services, you agree to these Terms in full. If you do not agree, please do not use our website or services.
Section 01
Our services
The Hirsch Group provides strategic consulting, leadership coaching, and organizational alignment services to businesses and senior leaders. Our offerings include, but are not limited to:
Executive Discovery Workshops
1:1 Leadership Coaching
Facilitated team sessions and sprints
Strategic planning and organizational design
Any other consulting or advisory services we may offer
The scope, deliverables, timeline, and fees for any paid engagement will be detailed in a separate agreement or proposal provided to you prior to commencement of work.
Section 02
Use of our website
You may use our website for lawful purposes only. You agree not to:
Use the site in any way that violates applicable local, national, or international law
Attempt to gain unauthorized access to any part of our website or systems
Transmit any unsolicited or unauthorized advertising or promotional material
Scrape, copy, or reproduce any content from our site without our prior written permission
Use our site in any way that could damage, disable, or impair its functionality
We reserve the right to restrict or terminate access to our website at our sole discretion, without notice, for any conduct we determine is in violation of these Terms or harmful to us, other users, or third parties.
Section 03
Discovery calls and consultations
Free discovery calls are offered at our discretion as an exploratory conversation to determine whether our services may be a fit. Booking a discovery call does not create a contractual obligation on either party to proceed with a paid engagement.
We reserve the right to decline, reschedule, or cancel a discovery call at any time. If you book and fail to attend without reasonable notice, we may decline future booking requests.
Any information shared during a discovery call is treated as confidential and will not be disclosed to third parties without your consent, except as required by law.
Section 04
Paid engagements
All paid engagements are governed by a separate written agreement or proposal agreed upon by both parties. In the absence of such an agreement, the following general terms apply:
Payment: Fees are due as outlined in the proposal or invoice. Work does not commence until payment is received unless otherwise agreed in writing.
Refunds: All fees are non-refundable unless explicitly stated otherwise in a written agreement. If we are unable to fulfill our obligations due to circumstances on our end, we will work with you in good faith to find a fair resolution.
Scope changes: Any requests to expand the scope of an engagement beyond what was originally agreed may be subject to additional fees and a revised timeline.
Your responsibilities: Timely delivery of any agreed outcomes depends on your active participation. We are not responsible for delays or reduced outcomes caused by lack of availability, information, or cooperation from your end.
Section 05
Intellectual property
All content on our website — including text, graphics, logos, frameworks, methodologies, and other materials — is the property of The Hirsch Group and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, or create derivative works from any of our content without our prior written consent.
With respect to deliverables created during a paid engagement: unless otherwise agreed in writing, The Hirsch Group retains ownership of all frameworks, methodologies, and tools used or developed. You receive a license to use any deliverables produced specifically for you for internal business purposes only.

Confidentiality
We understand that our work often involves sensitive business information. We treat all client information shared with us as confidential and will not disclose it to third parties without your consent, except as required by law or as necessary to deliver our services (e.g., to a subcontractor bound by equivalent confidentiality obligations).
In turn, you agree to treat any proprietary frameworks, tools, or methodologies we share with you as confidential and not to reproduce or distribute them without our written permission.
Where a specific engagement requires more detailed confidentiality terms, those will be addressed in the engagement agreement.
Section 07
Disclaimer of warranties
Our website and its content are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied. We do not warrant that the site will be uninterrupted, error-free, or free of viruses or other harmful components.
To the fullest extent permitted by law, we disclaim all warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Section 08
Limitation of liability
To the maximum extent permitted by applicable law, The Hirsch Group and its principals, employees, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, loss of data, or loss of goodwill — arising out of or in connection with your use of our website or services, even if we have been advised of the possibility of such damages.
Our total liability to you for any claim arising out of or related to our services shall not exceed the total fees paid by you to us in the three months preceding the claim.
Some jurisdictions do not allow the exclusion or limitation of certain damages. In those jurisdictions, our liability will be limited to the greatest extent permitted by law.

No guarantee of results
Consulting, coaching, and advisory services involve inherent uncertainty. While we work diligently to help our clients achieve their goals, we cannot and do not guarantee specific business outcomes, revenue growth, performance improvements, or other results.
Any testimonials, case studies, or examples shared on our website reflect the experiences of specific clients under specific circumstances and are not a guarantee that you will achieve the same or similar results. Results will vary based on factors including but not limited to your industry, team, resources, and implementation.

Indemnification
You agree to indemnify, defend, and hold harmless The Hirsch Group and its principals, employees, contractors, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or in any way connected with your use of our website or services, your violation of these Terms, or your violation of any third-party rights.
Section 11
Termination
Either party may terminate an engagement by providing written notice as specified in the applicable engagement agreement. In the absence of a written agreement, either party may terminate with 14 days written notice.
Upon termination, you remain responsible for payment of any fees for work completed up to the termination date. We will deliver any completed work product in our possession at the time of termination.
We reserve the right to terminate access to our website or refuse service to any person at any time, at our sole discretion, without liability.
Section 12
Governing law and disputes
These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or our services shall first be addressed through good-faith negotiation between the parties. If the dispute cannot be resolved informally within 30 days, it shall be submitted to binding arbitration in Los Angeles County, California, under the rules of the American Arbitration Association.
You agree that any claims against The Hirsch Group will be brought in your individual capacity only, and not as a plaintiff or class member in any class action or representative proceeding.
Section 13
Changes to these terms
We reserve the right to update or modify these Terms at any time. When we do, we will update the "Last updated" date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the revised Terms.
For active paid engagements, material changes to these Terms will not affect the terms of your existing engagement agreement without your written consent.
